ADA Real platform — current service details

Updated October 14, 2026. These product-specific details apply to ADA Real subscriptions and supplement the general service policies below. The checkout quote and the recurring authorization you accept identify your plan, price, and billing interval.

Trial, recurring billing, and cancellation

Eligible Managed customers can start a 7-day free trial for one website with a card verified and saved through Stripe. No subscription charge is collected at trial signup; your bank may show a temporary card-verification authorization. One trial is available per account and website. The trial cannot be combined with coupons or standalone audit credit. Full Managed starts with paid checkout, including any setup fee shown.

Before checkout, you must explicitly authorize the exact recurring amount and monthly or yearly interval shown. After the trial, Stripe automatically charges that amount unless you cancel before the trial ends. Subscriptions renew at the authorized interval until canceled. Open your dashboard, choose your website, then Manage plan to manage or cancel. Cancel before the trial ends to avoid the first charge, or before renewal to avoid the next charge. Your confirmation gives the exact scheduled billing date.

Confirmation, invoices, and access

A trial starts with an emailed zero-dollar confirmation PDF, followed by a trial-ending reminder. Each successful subscription charge receives an invoice PDF by email. Contact us if a billing email is missing. Dashboard and installation access require a verified active subscription or trial, or an explicitly included client plan. Entering your details, leaving checkout unfinished, or buying an audit alone does not activate a gadget subscription.

Service scope

Each plan covers one registered website. Active plans include one audit request every 30 days. Reports distinguish preliminary checks from recorded engineer review. Managed engineering work requires agreed scope and authorized access; larger repairs are scoped separately. Full Managed adds the website care described in its plan and agreed onboarding scope. Visitor tools, AI guidance, and reports do not guarantee complete accessibility, legal compliance, or immunity from claims.

A verified standalone audit payment may provide up to $99 credit once toward the first Managed or Full Managed invoice for the same website. It cannot be combined with a free trial or used on renewals. Contact our team before subscribing to arrange the credit.

These Service Terms & Client Policies (“Terms”) apply to website development, hosting, maintenance,
SEO, eCommerce, integrations, consulting, AI-assisted services, cloud services, live streaming, software
services, and related digital services provided by EMONIX INC. DBA California Web Solutions (“CWS,”
“Developer,” “we,” “us,” or “our”) to clients (“Client,” “you,” or “your”).

Table of Contents

1. Scope of Services

CWS provides only those services specifically described in
applicable agreements, invoices, proposals, written communications, approved work requests, or
documented approvals. Services not specifically included may require additional approvals, revised
timelines, additional billing, or separate agreements.

2. Client Responsibilities

Client is responsible for providing timely
access, approvals, credentials, content, instructions, materials, payment information, and cooperation
necessary for CWS to perform services. Delays, missing information, incomplete content, lack of approvals,
or third-party issues may delay timelines and may result in additional billing.

3. Content Ownership & Responsibility

Client remains solely
responsible for all content submitted, provided, uploaded, approved, published, requested, processed, or
otherwise used in connection with services provided by CWS (“Content”), including text, images, videos,
audio, trademarks, logos, customer data, products, pricing, marketing materials, copyrighted materials,
and related content.

Client represents that it possesses all rights, permissions, licenses, approvals,
and authority necessary to use such Content and agrees to defend, indemnify, and hold harmless CWS from
claims, damages, liabilities, losses, costs, legal fees, or disputes arising directly or indirectly from Client
1
Content.

CWS does not independently verify ownership, legality, licensing, permissions,
compliance, accuracy, or intellectual property rights associated with Client Content, and ownership of Client
Content does not transfer to CWS.

4. Content Authorization

CWS will not intentionally create, modify, publish,
remove, migrate, replace, update, delete, or substantially modify Client Content without authorization from
Client or authorized representatives. CWS may reasonably rely upon requests, approvals, instructions, or
communications appearing to originate from authorized representatives through email, phone calls, text
messages, support systems, chat systems, invoices, written approvals, shared documents, or other
reasonably verifiable communication methods.

Client remains responsible for controlling access
granted to employees, contractors, consultants, vendors, agencies, representatives, or other authorized
users, and CWS is not responsible for consequences resulting from requests reasonably believed to
originate from authorized representatives.

5. Developer Resources, Plugins & Licenses

CWS may utilize
licenses, plugins, themes, templates, APIs, subscriptions, hosting resources, AI services, cloud services,
tools, frameworks, integrations, scripts, software, and related resources (“Developer Resources”) while
providing services.

Unless explicitly transferred in writing, Developer Resources remain the
property of CWS or their respective owners and may be modified, discontinued, expire, require additional
fees, replacement, or stop functioning following termination, suspension, cancellation, vendor changes,
pricing changes, or transfer of services.

Except for Client-owned Content, CWS retains ownership of
reusable code, methodologies, frameworks, templates, workflows, systems, automations, intellectual
property, and related Developer Resources unless explicitly transferred in writing.

6. Hosting, Infrastructure & Backups

Hosting accounts, servers, cloud resources,
DNS services, backups, APIs, subscriptions, monitoring systems, storage systems, security systems,
automation systems, and related infrastructure used to provide services (“Infrastructure Resources”) remain
the property of CWS or their respective owners unless explicitly transferred in writing.

Client
acknowledges that Infrastructure Resources may change, migrate, require additional fees, become
unavailable, or stop functioning. CWS may permanently remove backups and related stored information
thirty (30) days following termination, suspension, cancellation, or service discontinuation.

CWS
does not guarantee backup retention, uninterrupted services, continuous availability, disaster recovery,
zero downtime, or recovery of lost, deleted, damaged, or compromised data.

7. Acceptable Use Policy

Client may not use CWS services to violate laws, infringe
intellectual property rights, upload malicious code, attempt unauthorized access, disrupt systems, send
spam or unlawful communications, host or distribute unlawful content, enable piracy, exploit others, harass
users, or conduct high-risk activities where failure could cause injury, death, or severe damage.

CWS may suspend, restrict, or terminate services if CWS reasonably believes Client violates this
Acceptable Use Policy or creates risk to CWS, its infrastructure, third-party providers, or others.

8. Messaging, Communications & Consent

If Client uses SMS, email, push
notifications, automated messaging, marketing communications, reminders, or similar services, Client is
solely responsible for obtaining required consent, providing required disclosures, honoring opt-out
requests, maintaining consent records, and complying with applicable laws and carrier policies, including
TCPA, CAN-SPAM, CTIA, 10DLC, toll-free messaging rules, privacy laws, and similar requirements.

CWS is not responsible for filtering, blocking, rate limiting, deliverability decisions, carrier restrictions,
2
inbox provider actions, or messaging compliance failures caused by Client campaigns, content, lists,
consent practices, or instructions.

9. SEO Disclaimer

CWS does not guarantee rankings, traffic, leads, conversions,
revenue, indexing, visibility, customer acquisition, business growth, or other specific SEO outcomes. SEO
results depend on factors outside CWS control including algorithms, competitors, content quality, third-
party platforms, technical limitations, user behavior, industry conditions, and search engine policies.

CWS is not responsible for ranking decreases, traffic fluctuations, penalties, reduced visibility, business
losses, or related impacts occurring before, during, or after SEO services.

10. eCommerce Disclaimer

Client remains solely responsible for all
eCommerce operations including products, pricing, taxes, inventory, shipping, fulfillment, customer
interactions, subscriptions, payment processing, merchant accounts, chargebacks, fraud prevention, PCI
obligations, regulatory compliance, product legality, warranties, disclosures, and related business
operations.

CWS does not operate Client’s business, does not guarantee sales, conversions,
revenue, processor availability, third-party compatibility, or uninterrupted functionality, and is not
responsible for losses, disputes, penalties, chargebacks, customer claims, business interruptions, processor
actions, or damages arising directly or indirectly from eCommerce operations.

11. Payment Processing, PCI & Sensitive Financial Information

CWS generally
recommends third-party payment processors and hosted payment solutions whenever reasonably possible.
If Client requests offline payments, locally stored financial information, custom payment workflows,
alternative payment systems, or collection, storage, transmission, processing, or handling of financial
information within websites, databases, plugins, APIs, applications, servers, integrations, or related
systems, Client acknowledges and accepts the associated risks.

Client remains solely responsible
for PCI obligations, payment processor requirements, financial data handling, fraud prevention, customer
disclosures, regulatory compliance, chargebacks, disputes, security practices, data protection, and related
obligations.

Although CWS may implement requested functionality based upon Client instructions,
such implementation does not transfer legal, operational, financial, security, regulatory, compliance, or
payment-related responsibility to CWS. CWS does not guarantee compliance, fraud prevention, processor
approval, payment security, breach prevention, chargeback protection, or protection against hacking, theft,
misuse, unauthorized access, data compromise, or related damages.

12. Maintenance & Third-Party Changes

CWS support, maintenance,
timelines, warranties, troubleshooting, security obligations, and related services assume reasonably
controlled environments. Modifications, installations, migrations, configuration changes, access changes,
infrastructure changes, or other actions performed by Client, Client representatives, employees,
contractors, vendors, agencies, third parties, or automated systems may limit or void support obligations,
require additional billing, restoration work, troubleshooting fees, or revised timelines.

CWS is not
responsible for damages, downtime, security issues, data loss, ranking loss, revenue loss, incompatibilities,
functionality failures, or related issues arising directly or indirectly from such changes.

13. Deadlines & Project Timelines

Timelines, deadlines, launch dates, delivery
dates, milestones, response times, schedules, and related estimates provided by CWS are estimates only
unless explicitly agreed in writing and may be affected by Client responsiveness, approvals, content
delivery, access credentials, third-party systems, vendors, technical limitations, scope changes, additional
requests, delayed payments, regulatory requirements, or factors outside CWS reasonable control.

3

CWS is not responsible for delays, missed launch dates, business interruptions, lost revenue, missed
opportunities, or related damages and reserves the right to pause, reschedule, or reprioritize delayed,
inactive, abandoned, or unresponsive projects.

14. Billing, Payment Default & Suspension

CWS generally invoices during the first
week of each billing cycle for upcoming services, and invoices are expected to be paid no later than the final
calendar day of the applicable billing period unless otherwise agreed in writing.

Client agrees to
pay all invoices, recurring fees, subscriptions, project fees, restoration fees, reactivation fees, additional
charges, and related amounts according to the applicable billing schedule. Failed payment methods,
declined cards, failed ACH transactions, insufficient funds, processor failures, chargebacks, disputes,
delayed payments, partial payments, or temporary continuation of services do not eliminate payment
obligations or waive CWS rights.

Unpaid balances may result in limitation, suspension, restriction,
or termination of services including maintenance, support, SEO services, updates, licenses, backups,
hosting, cloud services, integrations, website availability, or related services at CWS discretion. Restoration,
reactivation, migration, recovery, setup, reinstatement, or related fees may apply when services resume.
CWS is not responsible for damages, revenue losses, ranking losses, interruptions, data loss, business
losses, or related impacts resulting from suspension or termination caused by non-payment.

15. Termination

Services continue according to applicable project terms,
recurring terms, billing obligations, minimum terms, or agreed service periods unless otherwise specified in
writing. Termination does not eliminate unpaid balances, minimum commitments, outstanding obligations,
restoration fees, or payment obligations.

Upon termination, CWS may provide Client-owned
Content and commercially reasonable export materials after outstanding balances are satisfied. CWS-
owned infrastructure, subscriptions, licenses, plugins, themes, hosting resources, cloud services, APIs,
proprietary systems, reusable code, backups, and related resources remain excluded unless separately
agreed in writing.

Migration, transfer, restoration, documentation, troubleshooting, consulting,
export assistance, or related services may require additional billing.

16. Privacy & Data Protection

Each party is responsible for complying with
applicable privacy and data protection laws. If CWS processes personal data on behalf of Client, such
processing may be subject to a separate Data Processing Addendum or written agreement where
applicable.

CWS implements commercially reasonable technical and organizational measures;
however, no system is completely secure, and CWS does not guarantee absolute security or protection from
unauthorized access, breach, data loss, or misuse.

17. Confidentiality

Each party agrees to use reasonable care to protect
non-public confidential information received from the other party and to use such information only as
reasonably necessary to perform or receive services. Confidential information does not include information
that is public, independently developed, lawfully received from a third party, or required to be disclosed by
law.

18. Limitation of Liability

To the maximum extent permitted by law, CWS shall not
be liable for indirect, incidental, special, punitive, consequential, business interruption, economic, revenue,
profit, ranking, customer, opportunity, data, or related losses arising directly or indirectly from services
provided.

This includes losses resulting from outages, hacks, malware, ransomware, security
incidents, third-party failures, hosting failures, cloud failures, APIs, plugins, payment processors, algorithm
changes, software bugs, data corruption, service interruptions, incompatibilities, vendor actions, or factors
4
outside CWS reasonable control.

Client acknowledges that websites, software systems, cloud
services, APIs, integrations, payment systems, and internet technologies inherently involve risks. CWS
cumulative liability shall not exceed amounts actually paid by Client during the six (6) months preceding the
applicable claim. These limitations survive termination.

19. Force Majeure

CWS is not liable for delays, failures, outages, or service
interruptions caused by events beyond reasonable control, including natural disasters, war, terrorism, labor
disputes, power failures, internet failures, provider outages, third-party failures, government actions,
emergencies, or similar events. Payment obligations are not excused by force majeure events.

20. Governing Law & Disputes

These Terms are governed by the laws of the State of
California, without regard to conflict of law rules. Unless otherwise agreed in writing, the exclusive venue
for legal actions shall be the state or federal courts located in Los Angeles County, California, and the
parties consent to jurisdiction there.

21. Electronic Communications & Signatures

Client consents to receive electronic
communications from CWS and agrees that electronic agreements, approvals, notices, signatures, invoices,
and records satisfy legal requirements where permitted by law.

22. Updates to These Terms

CWS may update these Terms periodically. Updates
may be posted on this page and/or communicated to clients by email or other reasonable notice methods.
Continued use of CWS services after the effective date of updated terms may constitute acknowledgment of
the updated terms unless otherwise agreed in writing.

23. Entire Agreement

These Terms, together with applicable signed
agreements, invoices, proposals, written communications, approved work requests, and related documents,
constitute the applicable service terms between CWS and Client unless otherwise agreed in writing and
supersede prior discussions, representations, or understandings regarding the same subject matter.
